Over the past 18 months, artificial intelligence has moved from being a technology innovation topic to holding a permanent spot on the agenda of boardrooms and risk committees. The shift is significant: decisions once made with quarterly reports and static matrices now incorporate predictive models, natural language processing, and automated scoring systems. But the problem is not the technology itself. The problem is that most boards in Latin America still lack the conceptual tools to assess the risks these systems introduce.
The board as ultimate accountability holder
ISO 42001, in clause 5.1, is explicit: organizational leadership must demonstrate commitment to the AI management system. This does not mean signing a document. It means the board understands what AI models are used, what data they consume, what decisions they influence, and what oversight mechanisms exist. In practice, according to data from our research on AI impact on senior leadership, only 19% of boards in LATAM can answer these four questions accurately.
Three recurring mistakes in board-level AI adoption
After auditing more than 40 organizations in AI adoption processes, we identified three patterns that repeat with alarming frequency:
- Delegating AI governance exclusively to the IT department. AI is not an IT problem. It is an organizational risk that cuts across operations, legal, compliance, and reputation. ISO 42001 requires the management system to be cross-functional (clause 5.3 on roles and responsibilities).
- Relying on generic risk assessments. A traditional risk matrix does not capture the dynamic nature of a machine learning model. Algorithmic risks change with input data, usage context, and model updates. You need a specific framework like ISO 23894 for algorithmic risk.
- Assuming the AI vendor owns the risk. 62% of audited organizations had no contractual clauses covering explainability, algorithmic bias, or AI service continuity. If your organization deploys a third-party model, the risk is still yours.
What a board should demand in 2026
A board prepared to govern AI should have, at minimum, four operational elements:
- Updated AI systems inventory. Not just internally developed systems, but also those consumed from third parties. This includes HR tools, credit scoring, automated customer service, and any recommendation engine.
- Documented impact assessment per system. Each AI system should have a record that includes: purpose, training data, performance metrics, identified risks, and applied controls. ISO 42001 Annex A, control A.6.2.2, requires it.
- Periodic AI incident reporting to the board. There is no governance without visibility. If the board does not receive information about failures, detected biases, or performance deviations, it cannot exercise its oversight function.
- Specific executive training. A generic digital transformation seminar is not enough. Board members need to understand what an AI model is, what can go wrong, and how it is audited.
The cost of inaction
Regulatory risk is growing. Brazil already has its AI Legal Framework. Chile advanced with an AI bill. The EU AI Act is operational. Organizations that cannot demonstrate formal AI governance will face concrete operational restrictions, not just theoretical ones. And boards that do not prepare will discover that liability for failed algorithmic decisions ultimately falls on them.
